These Terms of Service ("Terms") govern your use of carxneo.com (the "Website") operated by CarXNeo ("we", "us", "our"). By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, please do not use the Website.

1. About this Website

The Website is a brand information and partner-onboarding platform for CarXNeo. It is not an e-commerce platform. Purchases of CarXNeo and BikeXNeo products are completed on our partner storefront eauto.co.in, which operates under its own terms and conditions, or through authorised retail distributors.

The Website's primary functions are: (a) presenting product information for CarXNeo's range of automotive accessories; (b) facilitating distributor and retailer applications; (c) providing brand and company information.

2. Eligibility

To use this Website, you must be at least 18 years of age and capable of forming a legally binding contract under the Indian Contract Act, 1872. By using the Website, you represent that you meet these requirements. If you are submitting a distributor or retailer application on behalf of a company, you represent that you have the authority to bind that company to these Terms.

3. Intellectual property

3.1 Our content

All content on the Website — including text, graphics, logos, photographs, illustrations, product names, designs, software, and the overall look and feel — is the property of CarXNeo or its licensors and is protected by Indian and international intellectual property laws.

The marks "CarXNeo", "BikeXNeo", the CarXNeo "X" device, the tagline "Drive into the new", and any other CarXNeo brand assets are trademarks of CarXNeo. Unauthorised use of these marks is strictly prohibited.

3.2 Permitted use

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and view the Website for your personal, non-commercial use, or for the purpose of evaluating a partnership with us. You may not:

• copy, reproduce, distribute, or publicly display any content from the Website without our prior written consent;
• modify, create derivative works of, or reverse-engineer any part of the Website;
• use any automated means (bots, scrapers, crawlers) to access or extract content beyond standard search-engine indexing as permitted by our `robots.txt`;
• frame, mirror, or embed the Website on another site without our written permission;
• use our trademarks or visual assets in a way that suggests affiliation, sponsorship, or endorsement that does not exist.

3.3 Feedback

If you send us feedback, suggestions, or ideas about the Website or our products ("Feedback"), you grant us a perpetual, royalty-free, worldwide licence to use that Feedback without compensation or attribution.

• eAuto (eauto.co.in) — our authorised online retailer, with separate terms and privacy policies;
• Google services — fonts (Google Fonts), analytics (Google Analytics);

• Authorised distributors and retailers who carry our products.

We are not responsible for the content, practices, or policies of third-party sites. Your use of any third-party site is at your own risk and subject to that site's terms. The presence of a third-party link on our Website does not constitute endorsement of that third party.

6. Distributor and Retailer applications

6.1 Application process

The Website allows prospective distributors and retailers to apply for partnership with CarXNeo by submitting an application form. Submission of an application does not, by itself, create a partnership, contractual relationship, or any binding obligation on us to accept the application or supply products.

6.2 Evaluation

We review applications on commercial criteria including (but not limited to) the applicant's market reach, business history, financial capacity, alignment with our brand standards, geographic territory, and current network coverage. We may accept, decline, or request additional information at our sole discretion. We are not obliged to provide reasons for declined applications.

6.3 Partnership terms

If we accept an application, a separate written partnership agreement will be executed between CarXNeo and the partner. That agreement, not these Website Terms, will govern the commercial relationship — including pricing, minimum order quantities, exclusivity, marketing support, payment terms, and warranty handling.

7. Product information

Product specifications, prices (including MRP), compatibility listings, and other product information shown on this Website are provided for reference. While we make every effort to ensure accuracy, we make no warranty that this information is complete, current, or error-free. Final pricing, availability, and product specifications are determined by eauto.co.in or the relevant authorised retailer at the point of sale.

Vehicle compatibility information (for example, fitment to specific motorcycle or car models) is provided to the best of our knowledge based on common configurations. We strongly recommend verifying compatibility with the actual headlight socket or fitment specification of your vehicle before purchase. We are not responsible for purchases that turn out to be incompatible due to unverified custom modifications, model-year variations not listed, or socket changes by the OEM.

8. Product warranty

CarXNeo products carry their own product-specific warranties (typically 1 year for motorcycle LED products, as stated on the product page and the warranty card included in the box). These warranties are between the end consumer and CarXNeo (or its authorised partner who fulfilled the sale) and are not affected by these Website Terms. Warranty claims should be made by following the process specified on the warranty card or on the relevant product detail page.

9. Disclaimers

The Website is provided "as is" and "as available", without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. We do not warrant that the Website will be free of errors, defects, viruses, or other harmful components, or that defects will be corrected, although we will make commercially reasonable efforts to do so.

To the maximum extent permitted by Indian law, we disclaim liability for any reliance you place on information found on the Website.

10. Limitation of liability

To the maximum extent permitted by Indian law, neither CarXNeo nor its directors, officers, employees, affiliates, or licensors shall be liable for any indirect, incidental, consequential, special, or exemplary damages — including but not limited to loss of profits, revenue, data, business opportunity, or goodwill — arising out of or related to your use of the Website, even if we have been advised of the possibility of such damages.

In any case, our total aggregate liability arising out of or in connection with these Terms or the Website shall not exceed ₹10,000 (Indian Rupees Ten Thousand) or the value of any product purchase made through links from the Website (whichever is lower), regardless of the form of action.

11. Indemnification

You agree to indemnify, defend, and hold harmless CarXNeo and its affiliates, directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Website; (b) your breach of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any information or content you submit through the Website.

12. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the Website shall be subject to the exclusive jurisdiction of the courts at Bangalore, Karnataka, India.

(If CarXNeo is registered or principally operates from a different city, update this clause to that jurisdiction before relying on the policy.)

13. Dispute resolution

Before initiating formal legal proceedings, the parties agree to attempt good-faith resolution by direct communication for a period of 30 days. Disputes that remain unresolved after this period may be referred to mediation or arbitration as the parties may mutually agree, failing which the dispute shall be subject to court jurisdiction as set out above.

14. Modifications to these Terms

We may amend these Terms at any time by posting a revised version on this page with an updated "Last updated" date. Material changes will be brought to your attention via a notice on the Website. Your continued use of the Website after a change indicates acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Website.

15. Severability and waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any provision shall not constitute a waiver of that provision or of our right to enforce it in future.

16. Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CarXNeo regarding the Website and supersede any prior agreements or understandings on this subject matter. For partnership relationships, the separately executed partnership agreement (where applicable) shall govern the commercial relationship.
